These Terms of Use ("Terms") govern your access to and use of the services provided by Goodwill Labs Inc. ("we," "us," or "our"), including our website (clawdi.ai), our platform for deploying and managing hosted OpenClaw or Hermes runtimes, and any related software or services (collectively, the "Service"). Please read these Terms carefully. By creating an account, accessing, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.
1. Who We Are
Clawdi.ai provides hosted compute for AI agent runtimes. Each hosted compute deployment runs one OpenClaw or Hermes runtime. Hosted agents use managed confidential-compute infrastructure, and provider credentials are delivered through the Service's managed configuration flow.
Your use of the Service relies on third-party services, including but not limited to AI models (e.g., from OpenAI), messenger platforms (e.g., Telegram), and integrated applications (e.g., Google Workspace, GitHub, Notion). Your use of these third-party services is subject to their respective terms and conditions.
2. Eligibility and Account Registration
To use the Service, you must be at least 18 years of age or the age of legal majority in your jurisdiction. By agreeing to these Terms, you represent and warrant that you meet this age requirement.
You must register for an account to access the Service. We use third-party services like Clerk and Google for authentication. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
You are solely responsible for all activities that occur under your account and for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account.
3. Fees, Payments, and Subscriptions
- Hosted Compute: We offer paid Compute Basic and Compute Performance plans. Current prices and billing terms are shown in Clawdi Cloud before deployment. We reserve the right to modify our products and pricing at any time, with reasonable notice to existing users.
- Billing and Payment: Paid hosted compute, Clawdi AI wallet top-ups, and other paid services may be processed by our third-party payment processor, Stripe. By providing a payment method, you authorize us (through Stripe) to charge your payment method for all applicable fees. Optional auto-reload, when enabled by you, may initiate additional wallet top-ups under the settings you select.
- Refunds: We support refunds in accordance with our policy. If you are not satisfied with our Service, please contact our support team at [email protected] to discuss your options.
- AI Usage: Clawdi AI is pay as you go and draws from an account-wide wallet. Bringing your own provider key bypasses Clawdi AI charges, although the third-party provider's own terms and charges may still apply.
4. User Responsibilities and Acceptable Use
You are responsible for your conduct while using the Service and for any content you provide or actions your AI assistant performs on your behalf. You agree not to use the Service for any purpose that is illegal or prohibited by these Terms, including but not limited to:
- Violating any applicable local, state, national, or international law.
- Infringing on the intellectual property rights of others.
- Transmitting any data that is unlawful, harmful, or contains viruses or malicious code.
- Attempting to gain unauthorized access to our systems or other users' accounts.
- Interfering with the proper functioning of the Service.
You are solely responsible for the API keys you provide to the Service and for the actions taken by your AI assistant using those keys. We use managed infrastructure and configuration controls for hosted agents, but you remain responsible for ensuring you have the right to use each key and for monitoring your assistant's activity.
5. Intellectual Property
- Our Service: All rights, title, and interest in and to the Service, including its software, design, and branding, are and will remain the exclusive property of Goodwill Labs Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.
- Your Content: You retain ownership of any data, information, or content you create or provide to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and modify Your Content solely for the purpose of providing and improving the Service for you.
6. Privacy and Data Security
Your privacy is paramount to us. Our Privacy Policy, which is incorporated by reference into these Terms, describes how we collect, use, and protect your personal information.
We use managed confidential-compute infrastructure and configuration controls for hosted agents. The data handled by runtimes, model providers, and integrations depends on the services you select and authorize. By using the Service, you consent to the data practices described in our Privacy Policy.
7. Termination
You may terminate your account and stop using the Service through available account controls or by contacting [email protected].
We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GOODWILL LABS INC. DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL GOODWILL LABS INC., ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Delaware.
10. Changes to the Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide you with notice, such as by sending an email or displaying a notice within the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
